Abstract

The article examines the corporate governance
institutes applicable to state-owned companies, from provisions contained in Law No. 13,303/2016 and Decree No. 8945/2016. It addresses the consequences of the criteria established by legislation for appointing people to senior
management for good governance and for the fulfillment of its constitutional mission, based on the discussion held in the Direct Action of Unconstitutionality (ADI) 7331/DF and in the Bill 2896/2022. It concludes that it is appropriate
to re-discuss the matter based on technical criteria.
